Management liability insurance is rooted in directors and officers liability. Historically, D&O policies covered only directors and officers for their personal liability and provided coverage for the named organization only for corporate reimbursement of the directors and officers for losses subject to indemnification. Since then policy forms offering management liability coverage have proliferated. The common coverage components are: coverage for individual directors’ and officers’ personal liability; coverage for the entity (corporation, partnership, LLC or other) and employment practices liability coverage.
